1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the ZoneVista platform, website (zonevista.io), dashboards, data, analytics, and all related services (collectively, the "Service") provided by Next Generation Data Analytics LLC ("NGDA," "Company," "we," "us," or "our"), a Michigan limited liability company.

By accessing, browsing, or using the Service in any manner, you ("User," "Subscriber," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

• "Platform" means the ZoneVista web application, dashboards, analytics interfaces, and any associated tools or features.
• "Dashboard Data" means all data, charts, metrics, analytics, visualizations, reports, and outputs displayed or generated by the Platform.
• "Source Data" means the underlying third-party datasets (including but not limited to Zillow Research data) that are ingested, transformed, and displayed through the Platform.
• "Subscription" means a paid plan granting access to the Platform under the terms of the selected tier.
• "Content" means all text, graphics, images, software, code, data, and other materials available through the Service.

3. Service Description

ZoneVista is a real estate market intelligence platform that provides interactive, data-driven dashboards for real estate professionals. The Platform aggregates publicly available real estate data, transforms it through proprietary analytical processes, and presents it through interactive visualizations.

The Service is designed for informational and analytical purposes and is intended to supplement — not replace — your own professional judgment and due diligence.

We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify active Subscribers of material changes.

4. Accounts and Access

4.1 Account Registration

To access paid features of the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information and for all activity that occurs under your account.

4.2 Account Security

You are responsible for safeguarding your login credentials. You agree to notify us immediately at info@nextgen-data-ai.com if you become aware of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.

4.3 Access Restrictions

Each Subscription grants access to a single organization. Account credentials may not be shared with individuals outside your organization. If you need additional seats or access for multiple offices, please contact us to discuss an appropriate plan.

5. Subscriptions and Payment

5.1 Subscription Tiers

The Service is offered through tiered Subscription plans, each with specific features, data access levels, geographic coverage, and refresh frequencies as described on our pricing page. We reserve the right to modify Subscription tiers and pricing with 30 days' advance notice to active Subscribers.

5.2 Billing and Payment

Subscriptions are billed monthly in advance via our third-party payment processor (currently Stripe). By subscribing, you authorize us to charge the payment method on file for the applicable Subscription fees on a recurring basis. All fees are quoted and payable in U.S. dollars.

5.3 Cancellation

You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds will be issued for partial months or unused time within a billing period, except as required by applicable law.

5.4 Failed Payments

If a payment fails, we will attempt to charge the payment method on file up to three additional times over 10 days. If all attempts fail, your access to the Platform may be suspended until payment is successfully processed.

5.5 Free Data Health Audit

We may offer a complimentary Data Health Audit as part of our onboarding process. This audit is provided at our discretion and does not obligate either party to enter into a Subscription.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

1. Redistribute or resell Dashboard Data, reports, or any Content from the Platform to third parties, whether for compensation or otherwise, without prior written consent from NGDA.
2. Scrape, crawl, or extract data from the Platform using automated tools, bots, scripts, or any other programmatic means.
3. Reverse engineer, decompile, or disassemble any part of the Platform, including its data pipeline, analytical models, database schema, or materialized views.
4. Reproduce or create derivative works based on the Platform's design, layout, analytical methodology, or proprietary visualizations.
5. Misrepresent the source of Dashboard Data. If you reference ZoneVista data in marketing or communications, you must attribute it to "ZoneVista by Next Generation Data Analytics" or "ZoneVista (zonevista.io)."
6. Use the Service to mislead consumers, clients, or the public, including presenting data in a way that is materially misleading or deceptive.
7. Circumvent access controls, attempt to gain unauthorized access to other users' accounts or data, or interfere with the security or operation of the Platform.
8. Use the Service to compete directly with NGDA by building a substantially similar product or service using insights gained from the Platform.
9. Exceed the scope of your Subscription tier, including monitoring more ZIP codes, geographies, or markets than your plan permits.

6.1 Permitted Uses

Subject to these Terms, Subscribers may:

• Use Dashboard Data internally for business analysis, market research, and client presentations.
• Share Dashboard Data with clients in the ordinary course of your real estate business, provided you include attribution to ZoneVista.
• Embed dashboards on your website if your Subscription tier includes this feature (Brokerage tier).
• Print or export individual charts or reports for internal use.

7. Intellectual Property

7.1 NGDA Ownership

The Platform — including its design, source code, data pipeline architecture, ETL processes, star schema data model, materialized views, analytical methodologies, visualizations, documentation, and all other proprietary components — is the exclusive property of Next Generation Data Analytics LLC and is protected by United States copyright, trade secret, and other intellectual property laws.

7.2 Limited License

Subject to your compliance with these Terms and your Subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Dashboard Data solely for your internal business purposes during the term of your Subscription.

7.3 Trademarks

"ZoneVista," the ZoneVista logo (when available), "Next Generation Data Analytics," and related marks are trademarks or service marks of NGDA. You may not use these marks without our prior written permission, except for accurate references to the Service with proper attribution.

7.4 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and incorporate that feedback into the Platform without obligation or compensation to you.

8. Data Sources and Accuracy

8.1 Third-Party Data

The Platform incorporates data from third-party sources, including but not limited to Zillow Research. ZoneVista is not affiliated with, endorsed by, or sponsored by Zillow Group, Inc. or any other data provider. All third-party trademarks and data remain the property of their respective owners.

8.2 Data Processing

Source Data is ingested, cleaned, transformed, and loaded into our proprietary data warehouse. While we take reasonable steps to ensure data quality and accuracy during this process, the transformation and aggregation of data inherently involves assumptions and methodological choices that may affect the output.

8.3 No Guarantee of Accuracy

We make no representations or warranties regarding the accuracy, completeness, timeliness, or reliability of any Dashboard Data, Source Data, forecasts, projections, market indicators, or other Content displayed through the Service. Data may contain errors, omissions, or delays. Market conditions change rapidly, and data may not reflect the most current market state at any given time.

8.4 Update Frequency

Dashboard Data is refreshed on a schedule that varies by Subscription tier. Between refreshes, data may not reflect the most current market conditions. We are not responsible for any decisions made based on data that has not yet been updated.

9. No Financial, Investment, or Legal Advice

The Dashboard Data, analytics, forecasts, market indicators, and other Content provided through the Service are for informational and analytical purposes only. They are not a substitute for professional advice from a licensed real estate appraiser, financial advisor, investment professional, attorney, or tax advisor.

You acknowledge that all real estate and investment decisions involve risk, and you are solely responsible for your own decisions. NGDA shall not be held liable for any losses, damages, or other consequences resulting from your use of or reliance on the Service.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

We collect personal information that you provide through our contact form (name, email, company, role) and through your use of the Platform. We use this information to provide the Service, communicate with you about your account, and improve the Platform. We do not sell your personal information to third parties.

We may use third-party services (such as Stripe for payment processing and analytics tools) that have their own privacy policies. We encourage you to review those policies.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

NGDA, its officers, directors, members, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to NGDA during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The Dashboard Data will be accurate, complete, current, or reliable.
• Any forecasts, projections, or market indicators will be predictive of actual future results.
• The Service will meet your specific requirements or expectations.
• Any errors or defects in the Service will be corrected.

13. Indemnification

You agree to indemnify, defend, and hold harmless NGDA and its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any content or information you provide through the Service.
• Any third-party claims resulting from your use of Dashboard Data.

14. Termination

14.1 Termination by You

You may terminate your account and Subscription at any time by contacting us at info@nextgen-data-ai.com or through your account settings. Termination takes effect at the end of the current billing period.

14.2 Termination by NGDA

We may suspend or terminate your access to the Service immediately and without notice if you breach these Terms, engage in Acceptable Use violations, fail to pay Subscription fees after the grace period described in Section 5.4, or if we are required to do so by law.

14.3 Effect of Termination

Upon termination, your right to access the Platform and Dashboard Data ceases immediately. You must discontinue all use of the Service and destroy any copies of Dashboard Data in your possession, except for data already incorporated into client-facing materials created during the term of your Subscription. Sections 6, 7, 8, 9, 11, 12, 13, and 16 survive termination.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify active Subscribers at least 30 days in advance via email or through the Platform. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes.

We encourage you to periodically review this page for the latest version of these Terms. The "Last Updated" date at the top of this page indicates when these Terms were most recently revised.

16. Governing Law and Disputes

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of laws principles.

16.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration taking place in Oakland County, Michigan.

16.3 Class Action Waiver

You agree that any disputes will be resolved on an individual basis and that you will not bring or participate in any class action, collective action, or representative proceeding against NGDA.

16.4 Small Claims Exception

Notwithstanding Section 16.2, either party may bring an individual claim in small claims court in Oakland County, Michigan, if the claim qualifies.

17. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any Subscription-specific terms, constitute the entire agreement between you and NGDA regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure. NGDA shall not be liable for any failure or delay in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, internet outages, third-party data provider outages, government actions, or pandemic-related disruptions.

Notices. Notices to NGDA must be sent to info@nextgen-data-ai.com. Notices to you will be sent to the email address associated with your account.
